Bylaws

The name of this organization shall be the Idaho Registry of Interpreters for the Deaf (Idaho RID), an affiliate chapter of the Registry of Interpreters for the Deaf, Inc. (RID).

The principal objective of this organization is to initiate, sponsor, promote and execute policies and activities that will further the profession of the interpretation of American Sign Language and English and the transliteration of English.

Section 1. Membership of the Idaho RID shall be open to any interested individual who supports the objectives of Idaho RID and is seventeen years of age and over.

Section 2. Idaho RID shall have the following categories of membership:

Certified interpreter member - Any individual who holds valid certification accepted by the RID or is a certified member of RID. Certified members, as long as they hold dual Certified membership, shall have full voting rights. Meetings, referenda and elections pertaining to evaluations, certifications and standards/ethics may only be voted upon by active certified members.

Qualified educational interpreter member: Any individual who meets the State of Idaho standard for interpreting in a K-12 educational setting but does not hold valid certification accepted by the RID. Qualified educational interpreter members, as long as they also hold Associate membership with RID, shall have voting rights.

Associate interpreter member: Any individual who is actively engaged in the interpretation of American Sign Language and English and/or the transliteration of English, but who does not hold valid certification accepted by the RID. Associate members shall have voting rights, as long as they hold dual Associate membership in both Idaho RID and RID.

Supporting member: Any organization or individual with an interest in supporting the purposes and activities of Idaho RID, and who does not meet the criteria of Certified or Associate member. Supporting members shall not have voting rights.

Student member: Any student of an approved secondary or post-secondary institution with an interest in supporting the purposes and activities of Idaho RID. Student members shall not have voting rights.

Section 3. An individual’s membership in Idaho RID can be terminated for the following reasons: Non-payment of dues as outlined in the Policies and Procedures Manual. Disorderly conduct or gross misdemeanor, after appropriate due process procedures have been enacted.

Section 1. Each member in good standing must pay the annual dues in amounts to be fixed from time to time by the Board of Directors. The Board of Directors shall not increase or decrease dues by more than ten percent (10%) without a majority vote of the membership.

Section 2. Dues for membership shall be due annually on the 1st of July. Membership ends June 30th of each membership year unless renewed.

Section 1. General Duties:

Perform duties as prescribed by the voting membership, the Board of Directors or as required by law

Approve the budget of the organization annually

Provide a comprehensive report no later than ninety days after the end of each fiscal year

Approve Presidential appointments to Member-at-Large and committee chair positions

Meet at a reasonable time and location to be determined by the presiding officer or at any time he deems necessary; meetings may be conducted via distance-conferencing

Maintain membership in good standing with the RID

Section 2. All Members-at-Large shall have the right to vote regardless of membership category.

Section 3. The Directors of Idaho RID shall be:

President

Vice-President

Secretary

Treasurer

Members-at-Large (up to 2)

Student Member-at-Large (1)

President-Elect

Section 4. Membership category:

President, President-Elect, and Vice President must be Certified interpreter, Qualified educational interpreter, or Associate interpreter members of Idaho RID and RID.

Secretary, Treasurer, and Members-at-large may be open to any membership category.

Section 5. The Directors’ duties shall be as follows:

President:

To preside at all meetings of this organization

To represent the organization in all appropriate activities

To appoint Members-at-Large to preserve general representation

To appoint committees/li<>

To maintain order among the members

To see that all business conducted by this organization is in agreement with the bylaws

To cast the deciding vote in case of a tie, except in elections

To be ex-officio member of all committees

Vice-President:

To preside in the absence of the President

To oversee special projects, as delegated by the President or the Board

To take charge of the bylaws and their revision

To use Robert’s Rules of Order, latest revision to govern all parliamentary procedure

To have on-hand a copy of each, as needed:

Updated bylaws of the RID

Updated bylaws of the Idaho RID

Robert’s Rules of Order, latest revision

Secretary:

To record the minutes of the meetings of this organization

To read all communications that are of interest to the members

To conduct the correspondence of this organization under the direction of the presiding officer

To provide all minutes of the Business meetings conducted by a quorum to all members

Treasurer:

To take charge of all money belonging to this organization not otherwise provided for in the bylaws

To keep a list of active members

To be prepared at all times to have the account books audited by a person appointed by the presiding officer

To oversee preparation of an annual Federal 990 form

To pay all debts upon the receipt for a request for payment and appropriate documentation from the presiding officer or designee

To reimburse the travel expenses of the Board of Directors on the basis of the fee schedule determined by the Board of Directors and membership

Members-at-Large:

To represent the interests of the members in their area.

Student Member-at-Large:

To represent the interests of the interpreting students in the State of Idaho.

President-Elect:

To attend all meetings of this organization.

To be mentored by the president in learning how the duties and responsibilities of the office of the President is conducted which may include but not limited to:

The procedure of appointing Members-at-Large and committee chairs

The procedure of appointing committees

To assist in maintaining order among the members

To assist in seeing that all business conducted by this organization is in agreement with the bylaws

To ready himself/herself to assume the Office of the President for 2 years following the initial period of mentorship

Section 6. Voting rights: All board members shall have the right to vote regardless of membership category.

Section 1. There shall be staggered biennial elections according to this schedule: During even years, the officers of President-Elect and Secretary shall be elected. President-Elect serves for one year, then automatically assumes the Presidency for two years. Secretary serves a two-year term. During odd years, the officers of Vice President and Treasurer shall be elected for two-year terms.

The President-Elect shall serve a term of three years. The first year is a mentorship under the current President. After the initial year of mentorship, the President-Elect assumes the Office of the President for the following two years. During the last year of the three-year term, the President mentors the newly chosen President-Elect.

Section 2. The officers shall be elected separately and shall be inaugurated immediately, assuming offices after a brief transition period.

Section 3. No member shall be eligible for elected office unless he has been a dual member of the RID and the Idaho RID in good standing for one full year preceding the annual meeting.

Section 4. If an elected officer vacates a position either through resignation or to assume another elected position on the board, the new officer shall be shall be appointed by the President and approved by the Board. If more than one year is left in that officer’s term, the President may hold a special election to fill the vacancy.

Section 1. The Board of Directors shall decide upon the time and location for the annual meeting.

Section 2. The presiding officer shall have the authority to call a board meeting or special meeting at any time deemed necessary.

Section 3. The quorum of the business meeting shall be no less than twenty-five (25) percent of the total number of Certified interpreter, Qualified educational interpreter and Associate interpreter members; fifty-one (51) percent of those present and voting constitutes a majority.

Meetings of this organization shall be conducted according to Roberts Rules of Order, latest edition.

Section 1. Type of Committees: Idaho RID shall have standing committees and may have special, sub- and/or ad hoc committees and task forces.

Section 2. Appointments: The chairpersons of all committees shall be appointed by the President and approved by the Board. The President may authorize committee chairpersons to select the members of their respective committees. Furthermore, the President shall designate a member of the Board to serve as a liaison member of each committee.

Section 4. Appointments: The President shall appoint or dissolve, upon approval by the Board, any special, sub- or ad hoc committees and task forces as may be deemed necessary to carry out the objectives of Idaho RID.

Section 5. Term of Office: Each member of a committee shall serve until a successor is appointed, until the term of the appointing President ends, or until such member resigns.

Each officer at his installation shall be required to make the following affirmation: “I do hereby promise on my honor that I will faithfully discharge the duties of my office to the best of my ability.”
